Terms of Service

ForgeOps (Pty) Ltd — Effective 1 July 2026 · Version 1.0

These Terms govern your access to and use of the ForgeOps platform at appforgeops.co.za and forgeops.co.za. By using the platform, you agree to these Terms.

1. Accounts and Access

1.1 Registration

To access the platform, you must register an account. You agree to provide accurate, current, and complete information and to keep it updated.

1.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must not share credentials with anyone who is not an authorised user of your organisation. You are responsible for all activity that occurs under your account.

1.3 Authorised Users

Only individuals who are employees, directors, or authorised contractors of the subscribing company may access the platform. The subscribing company is responsible for ensuring all its users comply with these Terms.

1.4 Account Suspension

ForgeOps reserves the right to suspend or terminate your account at any time if you breach these Terms, fail to pay fees due, or if your use of the platform poses a risk to other users or ForgeOps systems.

2. Acceptable Use

2.1 Permitted Use

You may use the platform only for lawful fleet management purposes in connection with your business operations.

2.2 Prohibited Activities

You must not:

  • Use the platform in any way that violates South African or any applicable law;
  • Upload or transmit false, misleading, defamatory, or fraudulent content;
  • Upload or transmit viruses, malware, or any code designed to interfere with the platform;
  • Attempt to gain unauthorised access to any part of the platform or other users' accounts;
  • Use automated tools (bots, scrapers) to access or extract data without ForgeOps's prior written consent;
  • Attempt to reverse engineer, decompile, or derive the source code of the platform;
  • Resell, sublicense, or make the platform available to any unauthorised third party;
  • Remove or obscure any copyright, trademark, or proprietary notices on the platform;
  • Store, process, or transmit data that you do not have the legal right to process;
  • Use the platform for any purpose other than legitimate fleet management operations.

2.3 Driver Information

If you upload driver personal information (identity numbers, licence details, etc.) to the platform, you confirm that you have a lawful basis under POPIA to do so and that the drivers have been informed that their data will be stored on the ForgeOps platform.

3. Content and Data

3.1 Your Data

You retain ownership of all data you upload to the platform. By uploading data, you grant ForgeOps a limited licence to process, store, and display your data solely for the purpose of providing the platform services to you.

3.2 Accuracy

You are solely responsible for the accuracy, completeness, and legality of your data. ForgeOps is not responsible for any decisions made based on inaccurate data uploaded by you.

3.3 Backups

While ForgeOps performs regular automated backups, you are responsible for maintaining your own copies of critical data. ForgeOps does not guarantee the recovery of lost data.

3.4 Compliance Documents

Expiry alerts for compliance documents (roadworthy certificates, PrDP renewals, etc.) are provided as a convenience tool only. You remain solely responsible for ensuring your fleet is legally compliant at all times.

4. Intellectual Property

4.1 Our IP

The platform, including all software, design, features, content, logos, and trademarks, is the exclusive property of ForgeOps (Pty) Ltd. Nothing in these Terms grants you any ownership rights in the platform.

4.2 Feedback

If you provide feedback, suggestions, or ideas about the platform, you grant ForgeOps a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation.

5. Third-Party Integrations

The platform may integrate with or link to third-party services (including mapping, document storage, and email services). These integrations are subject to the terms and privacy policies of the respective third parties. ForgeOps is not responsible for the content, availability, or practices of third-party services.

6. Disclaimers

6.1 As-Is Basis

The platform is provided on an "as is" and "as available" basis. ForgeOps makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 No Compliance Guarantee

The platform is designed to assist with fleet compliance management, but ForgeOps does not guarantee that use of the platform will ensure your compliance with any law, regulation, or licensing requirement. You remain solely responsible for your legal compliance.

6.3 Availability

ForgeOps does not guarantee uninterrupted or error-free access to the platform. Scheduled and unscheduled downtime may occur.

7. Limitation of Liability

To the maximum extent permitted by South African law, ForgeOps shall not be liable for:

  • (a) Any indirect, incidental, special, consequential, or punitive damages;
  • (b) Loss of profits, revenue, data, goodwill, or business opportunities;
  • (c) Any damages arising from your use of or inability to use the platform;
  • (d) Unauthorised access to or alteration of your data by third parties.

ForgeOps's total cumulative liability shall not exceed the fees paid by you in the 3 months prior to the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless ForgeOps, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • (a) Your breach of these Terms;
  • (b) Your use of the platform in a manner not authorised by these Terms;
  • (c) Any content or data you upload to the platform;
  • (d) Your violation of any applicable law.

9. Changes

9.1 Platform

ForgeOps may update, modify, or discontinue features of the platform at any time. Where a material feature is removed, ForgeOps will provide reasonable advance notice.

9.2 Terms

ForgeOps may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on the platform. Continued use of the platform after the effective date of the changes constitutes your acceptance.

10. Termination

These Terms remain in effect for the duration of your subscription. ForgeOps may immediately suspend or terminate your access for breach of these Terms. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification) will continue to apply.

11. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms will be subject to the non-exclusive jurisdiction of the courts of Gauteng, South Africa.

12. General

12.1 Entire Agreement

These Terms, together with the Privacy Policy and (for subscribing companies) the Master Service Agreement, constitute the entire agreement between you and ForgeOps regarding the platform.

12.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.

12.3 No Waiver

Failure by ForgeOps to enforce any provision does not constitute a waiver of that right.
